The group that owns Prima TV would acquire KANAL D. How much is the deal worth?

The Clever Media group, which owns Prima TV and is controlled by businessman Adrian Tomșa, reportedly reached an agreement for the acquisition of the Kanal D Romania television station, in a transaction valued at approximately 100 million euros.

The acquisition marks one of the most important moves in the Romanian media market in the last decade.

According to Mediafax, the negotiations have already ended, and at this moment, only the final steps to finalize the transaction remain, and the payment should be made in several installments.

Contacted by Paginademedia.ro, Kanal D officials initially refused to comment on the subject. Later, they sent: “Kanal D has no information on this subject, Dogan Holding or potential buyers can be contacted.”

Orlando Nicoară, representative of the Clever shareholders, declared for his part that “do not comment on rumours”.

We analyze and look for opportunities that appear in the media market”, added Nicoara, without giving any other details.

Major transaction on the media market in Romania

Following this acquisition, Prima TV and the entire media group Clever Media significantly expand their influence on the media market. The Kanal D television station was, until this moment, one of the big players in the top of the commercial televisions in Romania.

Kanal D is owned by Dogan Media International SA, a company whose shareholding consists of Dogan Media Invest BV, with 99.99998% of the share capital, and Rukiye Sevda Boduroglu, with 0.00002%.

According to data from the Trade Register, the company-owner of the Kanal D television station had, in 2024, a turnover of 286,685,710 lei (over 56 million euros) and a profit of 45,091,356 lei (almost 9 million euros).

“Dogan Media International” has been in Romania for 20 years and reported an average number of 366 employees.

The Kanal D station has consistently relied on reality show and evening entertainment formats. It has, over time, become a big competitor to the big media trusts in the country, especially in the entertainment area.

Among the star shows on Kanal D are “Jocul cuvintelor” and “The floor”, moderated by Dan Negru, “Casa iubirii”, “Asta-i România” (with Mihai Ghiță), “In search of truth” (presented by Ernest Takacs), “Follow us” with Teo Trandafir and Ilinca Vandici, but also the TV formats presented by Andreea Mantea.

Clever Media, expansion on the Romanian media market

On the other hand, Clever Media has grown in recent years through a diversification strategy that has focused on sports, news, documentary and thematic content.

Clever Group operates several TV stations and websites through its companies, Clever Media Network, Clever Business Transilvania, Diplomatic Digital, Agro TV and Medika Broadcast Channel.

According to some sources, the company through which the transaction would take place is Clever Business Transilvania, which holds, among others, the licenses for Prima TV and Prima Sport.

The company was founded in December 2005 and has a shareholding structure in which Adrian Gheorghe Tomșa owns 65%, Clever Media Network from Cluj 25%, and Maria Nicoară 10%.

In 2024, the company had a turnover of 57,373,299 lei (11.2 million euros) and recorded a profit of 4,061,367 lei (almost 800,000 euros). Moreover, Clever Business Transilvania declared an average number of 128 employees.

At the same time, Clever Media Network, part of Clever Business Transilvania, also figures, in 2024, with a turnover of 214,880,693 lei (42 million euros) and a profit of 3,884,577 lei (a little over 750,000 euros).

The Clever Group’s expansion is also visible in the portfolio of channels it already controls. Beyond Prima TV and the Prima Sport network, the group owns Prima News, Cinemaraton, Agro TV, Prima History, Prima World, Prima Comedy, Nostalgia TV, as well as the Profit.ro platform.

It should be noted that Clever Group owns the broadcast rights in Romania for several major sports competitions, including UEFA Champions League, UEFA Europa League and UEFA Conference League, as well as for the Romanian Superliga, Liga 2 and the Romanian Cup.

At the same time, the company has access to broadcasts from some of the most important European championships, including the Bundesliga, La Liga, Ligue 1 and Serie A.
